Incorporation & Reorganization
We act for companies ranging in size from small to large firms that are active in a wide variety of industries. We provide registered and records office services, as well as carry out the incorporation, reorganization, dissolution and amalgamation of companies, and all other matters relating to corporate maintenance. We also provide business structuring services, including the drafting and development of partnerships, trusts and other corporate structures.
Commercial Contracts
We have drafted and negotiated contracts for both the private and public sectors, including share and purchase agreements, asset purchase agreements, option agreements, rollover agreements, partnership agreements and software development, licensing and distribution agreements.
Commercial Real Estate, Acquisitions & Sales
We act for purchasers, vendors and developers with respect to the development, sale and purchase of commercial real estate, including land assembly matters and negotiating and drafting purchase and sale agreements.
Leasing
We represent landlords and tenants with respect to negotiating and drafting of commercial leases and with respect to negotiating and resolving leasing disputes.
Real Estate Development
We act for developers in the development of real property projects from the initial stages of project visualization, land assembly, acquisition and Land Title Office structuring, planning, municipal zoning and approval issues, financing and construction implementation, disclosure, leasing and sales. We have substantial experience in the process of bringing together and resolving the complex interaction of municipal, financial and land registration issues that must interlock to enable the development process.
Employment & Other Work Place Matters
We act for employers, employees and independent contractors with respect to various matters pertaining to the work place, including negotiating and drafting employment agreements, independent contractor agreements and privacy policies. We also act as legal counsel with respect to wrongful termination/dismissal and human rights matters.
Charitable & Not For Profit Sector
Several of our group members act in a professional capacity for charities and societies, as well as serve on society boards. We act for various charitable organizations with respect to providing general legal advice as well as drafting by-laws and advising on other societal matters.
